These Terms of Service ("Terms") govern your access to and use of the NexM website and the services we provide as a product development partner. By accessing our site or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By using our website or entering into an engagement with NexM, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our website or services.
2. Services
NexM provides product strategy, design, web and SaaS development, AI solutions, dedicated development teams, and maintenance and growth services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written agreement or proposal.
3. Proposals & Engagements
Proposals are provided for your consideration and do not constitute a binding commitment until a corresponding agreement is signed by both parties. Estimates of timeline and cost are based on the information available at the time and may be revised as scope evolves.
4. Client Responsibilities
To deliver effectively, we rely on you to provide timely feedback, access to required materials and systems, and accurate information. Delays in these responsibilities may affect agreed timelines and deliverables.
5. Fees & Payment
Fees, payment schedules, and invoicing terms are set out in the applicable agreement. Unless otherwise stated, invoices are due within the period specified, and late payments may result in suspension of work.
6. Intellectual Property
Upon full payment, ownership of the final deliverables created specifically for you transfers to you, except for any pre-existing tools, libraries, or frameworks, which remain the property of their respective owners or of NexM and are licensed for your use.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed during an engagement and to use it solely for the purposes of the project. This obligation continues after the engagement ends.
8. Warranties & Disclaimers
We perform our services with reasonable skill and care. Except as expressly stated, our website and services are provided "as is" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, NexM shall not be liable for any indirect, incidental, or consequential damages, and our total liability for any claim shall not exceed the fees paid for the relevant engagement.
10. Termination
Either party may terminate an engagement in accordance with the terms of the applicable agreement. Upon termination, you agree to pay for all work completed up to the effective date of termination.
11. Governing Law
These Terms are governed by the laws of Japan, without regard to its conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
